PHILIPPE BLANCHARD
PARTNER
philippe@blanchardterna.com
For many of his clients, Philippe serves as a primary legal advisor—working closely with management teams across transactions, commercial relationships, disputes, and day-to-day business matters. He is often called upon in situations that do not present clean legal answers, where judgment, prioritization, and practical experience are as important as technical analysis.
OVERVIEW
Philippe advises companies, founders, and investors on their most important legal and business decisions. Clients rely on Philippe not only to solve discrete legal issues, but also to help them think through the decisions that shape their businesses.
Philippe’s practice centers on mergers and acquisitions and other strategic transactions, including acquisitions, divestitures, investments, and joint ventures. He regularly leads deals from initial structuring through closing, with a focus on maintaining momentum, identifying the issues that matter, and keeping negotiations grounded in commercial reality. His transactional work is complemented by ongoing advisory work across the business. He frequently assists clients in structuring key commercial relationships, navigating sensitive situations, and addressing issues as they arise in the ordinary course.
Philippe is known for being direct, pragmatic, and responsive. He focuses on helping clients make decisions with a clear understanding of risk and tradeoffs, and on moving matters forward efficiently. His approach is shaped by experience in large law firm, boutique, and in-house environments, and by an understanding of how legal advice is actually used within organizations.
EXPERIENCE
In addition to his transactional practice, Philippe advises on labor and employment matters and represents clients in commercial and employment-related disputes. This broader experience informs his approach to transactions and counseling. He is attuned not only to how deals are documented, but to how they play out in practice—particularly in areas such as workforce integration, customer relationships, and post-closing disputes.
Philippe has experience across a wide range of industries and transaction types, with particular familiarity in sectors where operational considerations are central to legal outcomes, including metals and manufacturing, staffing and workforce solutions, specialty ingredients, and facilities management. His work often involves companies navigating growth, integration, or expansion into new markets, including cross-border transactions and U.S. market entry.
